We establish two kinds of companies in Great Britain. Private Limited company (LTD) and Limited Liability Partnership (LLP).


Private Limited Company (LTD)

At least one director is required (a natural person or corporate body) and at least one secretary (we can provide for all companies) and at least one shareholder (natural person or corporate body). The standard share capital is GBP 1,000 the minimum paid up capital is GBP 1. Every year each company must prepare and submit Accounts and according to the profit pay income tax of 20% - 23%. As soon as the turnover of a company exceeds GBP 83,000 it must apply for VAT registration. We can prepare and submit Inland Revenue Accounts at Companies House by agreement. The minimum fee is EUR 700.

The costs of establishing a British Ltd company, a registered office in London, a local secretary, standard documents (Certificate of Fact with Apostille), share certificates, stamp and delivery by courier are EUR 1,500.

The costs for additional years, i.e. leasing a registered office, administration fee and a local office are EUR 1,200.

Optional services to keep directors and shareholders anonymous:

Nominee director (natural person), one General Power of Attorney (POA) verified by a notary with Apostille and an undated resignation of the nominee director costs EUR 500 a year.

Nominee shareholder (natural person or corporate body), including a Declaration of Trust verified by a Notary with Apostille costs EUR 500 a year.


Limited Liability Partnership (LLP)

An LLP must have at least two members of which at least one must be a natural person, the second may be a natural person or corporate body. At least two members must be indicated as “designated members” and their obligations will include, for example, appointing an auditor (if necessary), reporting changes in the company in the Commercial Register, etc. If an LLP has only two members, they must both be “designated members”. If an LLP has three or more members, it can decide whether only two of them will be appointed “designated members” or there will be more (e.g. all) but in each case there must at least two members. An LLP can have as many members as necessary, however, one of them must be natural person.

As soon as the turnover of the company exceeds GBP 83,000 it must apply for VAT registration. EU regulations state that a company should register for VAT in the country in which it operates which need not be Great Britain. Once a year a Financial Statements must be submitted, the fee for the complete service starts from EUR 700.

UK LLP which has non-resident members, non-resident “designated members” and which does not operate in Great Britain, does not pay any income tax in Great Britain A. All profit should be taxed at the level of members of the company.
